Article ** Language
This Agreement is made in Japanese and translated into English. The Japanese text is the original and the English text is for reference purposes. If there is any conflict or inconsistency between these two texts, the Japanese text shall prevail.

Article 1(Definition of Papatto Cloud)

  1. Papatto Cloud(hereinafter referred to as "the Service")is a service provided by Net Business Support Co., Ltd.(hereinafter referred to as the “Company”)via the Internet to customers(hereinafter referred to as the “Users”) who wish to use it.
  2. This service allows Users to access the database (hereinafter referred as “DB”) independently constructed and maintained by Company, use the database search tool (hereinafter referred as “Tool”) independently developed by Company to search with user-specified criteria, download the extracted company information data(hereinafter referred as “original data”) listed in the DB and use the original data downloaded or displayed on the screen non-exclusively. A manual (hereinafter referred as “manual”) stipulating the specifications and usage of this Service is provided.

Article 2(Terms of Use of the Service)

  1. Before using the Service, the User shall enter into a separate service agreement (hereinafter referred to as the Individual Agreement) between the User and the Company.
  2. The Individual Agreement  referred to in Paragraph 1 shall be concluded when the user presents the application form for the use of "Papatto Cloud" prescribed by the company and gives the user the ID and initial password required for the use of the Service.
  3. When using the Service pursuant to paragraph 1, the User shall use the Service based solely on theseTerms, the Terms separately notified by the Company as necessary and the manual. These Terms of Use, this manual, notices, etc. are collectively referred to as the "Terms of Use".
  4. The Company may add, change, delete, or otherwise revise the contents of these Terms and this manual as necessary.

In addition, the revision of the Terms and its contents shall be notified on the screen of the Company's website at the time of use of the Service or by a method selected by the Company, and the revised Terms and the provisions of this manual shall apply from the time of such notification, and the User agrees to this.

Article 3 (Scope of Use, etc.)

  1. The User may use the Service at any time (24 hours a day, all year round), except as provided in Article 7, Paragraph 1.
  2. The User's use of the Service is limited to use by its own officers and employees, and the original data (including collections of the data, and those recorded on paper, electronic, or optical media) may only be used for the User's business purposes, and the original data may not be provided or transferred to a third party, regardless of whether it is sold, lent or otherwise. In addition, it must be maintained as confidential..
  3. Notwithstanding the preceding paragraph, if the Company has approved in advance the User may license the use of the original data to the outsourcer in case that it is necessary to provide the original data for outsourcing the method or means of promoting the User’s business . However, the outsourcing contractor shall be instructed to limit the use to the purpose of outsourcing and must be given the same responsibility as the preceding paragraph.
  4. The number of times the original data is used shall be in accordance with the Individual Agreement.
  5. The number of uses referred to in the preceding paragraph shall be counted as one data related to one company, which is extracted from the original data by the User's arbitrary search criteria in each search based on this manual and downloaded. In addition, the Data related to the Company downloaded by the same or different search criteria at different times will be separately counted as one case.

Article 4 (Restrictions, Prohibitions, etc. on Use)

    1. After receiving the initial password, the user shall immediately change it to a password of their choice and manage it along with their ID at their own responsibility.

If the Service is used with the prescribed ID and password (including the initial password), all of the Terms of Use shall apply to the use of the Service by the User.

    1. The User shall procure and maintain the User's equipment, software, and telecommunications lines necessary for the use of the Service at its own responsibility.
    2. Users shall not illegally access DB, tools, etc., by methods other than those specified in the anual, or falsify or tamper with original data or Company data.

Article 5 (Usage Fee)

  1. The usage fee for the Service and the payment method shall be as per the Individual Agreement.
  2. The User shall perform the payment pursuant to the preceding paragraph without delay.

Article 6 (Scope of Liability)

  1. In providing the Service, the Company shall make all reasonable efforts to ensure that the Service operates normally.
  2. The Company shall, at its own discretion, successively update the original data and make it available for use by the User.
  3. The liability of the Company in providing the Service shall be limited to the provisions of the preceding two paragraphs.

Article 7 (Disclaimer)

  1. The Company may suspend the Service in the following cases:
    1. When performing regular or emergency maintenance, inspection, repair, etc., of servers and other equipment for the Service, the DB, Tools, telecommunications line environment, etc. In this case, except in the event of an emergency, the User shall be notified in advance on the screen when using the Service or by a method separately selected by the Company.
    2. When the provision of the Service is delayed or becomes impossible due to any force majeure such as fire, power outage, earthquake or other natural disaster, war, riot, etc., or due to reasons beyond the scope of the Company's reasonable control.
    3. In the preceding two items, the Company shall not be liable for any default or any other liability.
  2. The Company does not guarantee the accuracy, completeness, or suitability for the User's specific purpose of the Original Data and the Data contained in the DB.
  3. In the event that the User causes damage to a third party or a dispute arises between the User and a third party in the use of the Service, the User shall compensate for the damage or resolve the dispute at its own risk, including the cost of the Service.

Article 8 (Suspension and Cancellation of Use)
If the Company reasonably determines that the User falls under any of the following items, the Company may suspend the provision of the Service and terminate the Individual Agreement without notice to the User.

    1. When the User violates these Terms of Use or Individual Agreements.
    2. When payment is suspended or insolvent, or when a bill or check drawn by the applicant is dishonored
    3. When there is a petition for seizure, provisional seizure, provisional disposition or auction, or disposition for non-payment of taxes and public dues.
    4. When bankruptcy proceedings, civil rehabilitation proceedings, corporate reorganization proceedings or special liquidation petitions are filed.
    5. When dissolution is resolved or disbanded
    6. When a merger, business transfer, stock split, or other transaction that causes a significant change in capital structure is conducted.
    7. When the business is suspended or the business license or business registration is revoked by a supervisory authority
    8. When any other reason equivalent to the preceding items occurs.

Article 9 (Intellectual Property Rights, etc.)

  1. Copyrights, trademark rights, know-how, and all other intellectual property rights of the Service or incidental to the Service belong to the Company.
  2. If the user wishes to use the intellectual property rights set forth in the preceding paragraph, the user must obtain the permission of the Company.

Article 10 (Exclusion of Antisocial Forces)
The user represents and warrants that the user, its officers, and persons who have substantial management rights do not fall under any of the following items, and are not involved.

    1. Organized crime groups, gang members, and companies related to organized crime groups
    2. In addition to the preceding paragraph, groups or individuals who fall under antisocial forces

Article 11 (Compensation for Damages)

  1. In the event that the Company suffers damage due to the User’s violating the provisions of these Terms and the Individual Terms of Use, the User shall be liable for compensation.
  2. The damages to be borne by the Company to the User shall be limited to ordinary damages directly and actually suffered by the User due to reasons based on the Company’s responsibility. Under no circumstances shall the Company be liable for any loss or damage due to lost profits, indirect or special circumstances arising out of or in connection with the use of the Service.
  3. The damages to be borne by the Company to the User in the preceding paragraph shall be limited to the contract amount.

Article 12 (Confidentiality)

  1. The Company and the User shall maintain strict confidentiality of the other party's business confidential information obtained in connection with the Individual Agreement, and shall not disclose or leak it to a third party without the prior written consent of the other party.
  2. The User shall handle the contents of this manual and other technical information related to the Service that the User obtained in accordance with the preceding paragraph

Article 13 (Personal Information)
When the User obtains personal information through the use of this Service, the User shall pay due attention to respect for privacy and the protection of personal information, and shall use and manage it in an appropriate manner.

Article 14 (Measures upon Termination of Contract)
Regardless of the reason, when an Individual Agreement is terminated, the Company shall voluntarily take the following measures, and the User shall agree to this.

    1. Deletion of IDs granted by the Company based on Individual Agreement
    2. Deletion of passwords and all other information registered by the User in the use of this Service

Article 15 (Contract Period)

  1. The use of the Service shall be the contract period of the attached application form after the conclusion of the Individual Agreement set forth in Article 2.
  2. If either the Company or the User does not notify the other party in writing that the Individual Agreement will not be renewed one month prior to the expiration of the period set forth in the preceding paragraph, the contract period set forth in the preceding paragraph shall be renewed and shall continue to apply thereafter.
  3. The contract period stipulated in the preceding two paragraphs may not be terminated mid-term, except in the case of cancellation pursuant to Article 8.

Article 16 (Consultation)
In the event of any doubt regarding matters not stipulated in these Terms of Use and Individual Agreement, or regarding the interpretation of these Terms of Use and Individual Agreement, both parties shall discuss in good faith and aim for amicable resolution.

Article 17 (Governing Law and Jurisdiction)
In the event of any dispute regarding these Terms of Use and Individual Agreement, the law of Japan shall be the governing law, and the Tokyo District Court shall be the exclusive jurisdiction court of first instance.
